These Terms and Conditions ("Terms," "Agreement") govern your access to and use of the MBA Capital Team website, digital platforms, tools, and all associated financial services (collectively, the "Services") made available by MBA Capital Team. By accessing or using the Services, you agree to be legally bound by these Terms.

These Terms apply to all visitors, registered users, clients, and any other persons who access or interact with the Services in any capacity.

If you do not accept these Terms, or if you are not eligible to use the Services under Section 3 of this Agreement, you are required to discontinue all use of the Services immediately. Continued use of the Services after the effective date of these Terms constitutes irrevocable acceptance of the Agreement.

Certain features or services offered by MBA Capital Team may be subject to additional terms, policies, or agreements ("Additional Terms"). In the event of a conflict between these Terms and any Additional Terms, the Additional Terms shall control with respect to the specific feature or service to which they apply.

MBA Capital Team is a business funding solutions company that assists entrepreneurs and small business owners in identifying and accessing appropriate funding options. MBA Capital Team operates as a doing-business-as (DBA) name of MIH Business Academy, LLC, the underlying legal entity. The Company serves as a facilitator connecting clients with third-party lenders and funding sources, and does not itself originate, underwrite, or fund loans.

MBA Capital Team provides business funding facilitation services, including but not limited to connecting clients with providers of business term loans, business lines of credit, merchant cash advances, SBA loan referrals, revenue-based advances, startup funding, and shelf corporations. All Services are provided subject to applicable regulatory frameworks and the terms set forth in this Agreement. MBA Capital Team does not guarantee approval or funding and is not responsible for the terms, rates, or decisions of any third-party lender.

MBA Capital Team operates in compliance with all applicable federal, state, and local laws and regulations governing business funding facilitation and financial services. Nothing in these Terms shall be construed to override or supersede applicable regulatory obligations.

The Services are available exclusively to individuals who are at least eighteen (18) years of age. By accessing or using the Services, you represent and warrant that you are 18 years of age or older. MBA Capital Team reserves the right to terminate access for any user found to be under the minimum required age.

You represent and warrant that you possess the full legal capacity and authority to enter into, perform, and be bound by this Agreement. If you are using the Services on behalf of a corporation, partnership, or other legal entity, you represent that you have the authority to bind such entity to these Terms.

The Services are not intended for, and may not be accessed by, individuals or entities located in any jurisdiction where the provision or use of such Services is prohibited, restricted, or unlicensed under applicable law. It is your sole responsibility to ensure compliance with all laws and regulations applicable in your jurisdiction before accessing or using the Services.

Each time you access or use the Services, you represent and warrant that you continue to satisfy all eligibility requirements set forth in this Section.

MBA Capital Team offers business funding facilitation services including, but not limited to, business term loans, business lines of credit, merchant cash advances, SBA loan referrals, revenue-based advances, startup funding, and shelf corporations. The Company acts as a facilitator and does not directly lend, underwrite, or guarantee any funding. The specific scope of services available to any given User shall be governed by the applicable service arrangement between the parties.

MBA Capital Team reserves the right, in its sole discretion and at any time, without prior notice or liability, to:

• (a)Modify, alter, update, or enhance any aspect of the Services;
• (b)Suspend access to the Services, whether in whole or in part, temporarily or permanently;
• (c)Discontinue any Service or feature at any time for any reason.

MBA Capital Team shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services. Your continued use of the Services following any modification constitutes your acceptance of the modified Services.

MBA Capital Team does not guarantee uninterrupted or error-free availability of the Services. Scheduled or unscheduled maintenance, technical failures, or circumstances beyond the Company's reasonable control may result in temporary unavailability of the Services.

You agree to provide accurate, current, complete, and truthful information when registering for, accessing, or using the Services. You further agree to promptly update any information in your account to maintain its accuracy and completeness at all times.

You are solely responsible for maintaining the strict confidentiality of your account credentials, including your username and password. You agree to immediately notify MBA Capital Team of any unauthorized use of your account or any other breach of security. MBA Capital Team shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

You agree that you will not, under any circumstances, engage in any of the following conduct in connection with the Services:

• (a)Engage in any form of fraud, misrepresentation, or deceptive practice;
• (b)Engage in unauthorized access to, tampering with, or disruption of any systems, networks, or data associated with MBA Capital Team or third parties;
• (c)Violate any applicable local, state, national, or international law or regulation, including securities laws and anti-money laundering regulations;
• (d)Transmit any unsolicited or unauthorized advertising, promotional material, spam, or any other form of solicitation;
• (e)Attempt to reverse engineer, decompile, disassemble, or otherwise derive source code from any software underlying the Services;
• (f)Use the Services in any manner that could damage, disable, overburden, or impair the functionality of any MBA Capital Team system or network;
• (g)Collect, harvest, or store personal data about other users without their express consent.

You are solely responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and any applicable professional standards in your jurisdiction.

All content, materials, and resources made available through MBA Capital Team's website and platforms — including, without limitation, text, graphics, logos, icons, images, audio clips, data compilations, software, and all intellectual property rights subsisting therein — are the exclusive property of MBA Capital Team or its licensors and are protected by applicable intellectual property laws.

The MBA Capital Team name, logo, and all related marks, product and service names, designs, and slogans are trademarks or service marks of MBA Capital Team. You may not use such marks without the prior written permission of MBA Capital Team.

You are strictly prohibited from copying, reproducing, distributing, publishing, displaying, performing, modifying, creating derivative works from, transmitting, or otherwise exploiting any content from MBA Capital Team's platforms, in whole or in part, without the prior express written consent of MBA Capital Team.

Subject to your compliance with these Terms, MBA Capital Team grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal or internal business purposes. This license does not include any right to sublicense the Services to third parties.

Any feedback, suggestions, or ideas you provide to MBA Capital Team regarding the Services may be used by MBA Capital Team without any obligation of compensation, attribution, or confidentiality to you.

All information, materials, and resources published or made available through MBA Capital Team's website and platforms are provided for general informational and educational purposes only. Such content does not constitute financial, legal, accounting, tax, or other professional advice. MBA Capital Team is a funding facilitator and does not originate, underwrite, guarantee, or fund any loan or advance.

Unless you have entered into a separate, signed engagement agreement with MBA Capital Team expressly establishing an advisory relationship, no content or communication through the Services shall be construed as creating a fiduciary duty, advisory relationship, or any other special relationship between MBA Capital Team and you.

MBA Capital Team does not guarantee that any applicant will be approved for or receive funding. Funding amounts, rates, terms, and approval decisions are determined solely by third-party lenders and are subject to change. Prior successful funding placements are not indicative of future results for any individual applicant.

MBA Capital Team strongly recommends that all users consult with qualified, licensed financial advisors, legal counsel, and tax professionals before entering into any loan, advance, or business funding arrangement. MBA Capital Team is not responsible for any business or financial decisions made by users in reliance on information provided through the Services.

MBA Capital Team operates an affiliate referral program. Participation in the affiliate program is governed exclusively by the separate Affiliate Agreement, which each affiliate must review, agree to, and sign prior to participation. In the event of any conflict between these Terms and the Affiliate Agreement, the Affiliate Agreement shall control with respect to affiliate-specific matters. These Terms do not confer any affiliate rights or compensation entitlements.

Your use of the Services is also governed by MBA Capital Team's Privacy Policy, which is incorporated herein by this reference and made a part of these Terms. By accepting these Terms, you also acknowledge and accept the terms of the Privacy Policy.

MBA Capital Team collects, uses, stores, and processes personal and financial data in accordance with its Privacy Policy and all applicable data protection and privacy laws, including but not limited to applicable federal and state privacy statutes. You consent to such collection and processing as described in the Privacy Policy.

MBA Capital Team reserves the right to update or modify its Privacy Policy from time to time. Material changes to the Privacy Policy will be communicated to users in the manner described in Section 14 of these Terms.

MBA Capital Team's website and platforms may contain hyperlinks to third-party websites, services, platforms, or resources ("Third-Party Sites") that are not owned, operated, or controlled by MBA Capital Team. Such links are provided solely for the convenience and informational benefit of users.

The inclusion of any link to a Third-Party Site does not imply endorsement, sponsorship, recommendation, or approval by MBA Capital Team of the content, products, services, or practices of such Third-Party Site. MBA Capital Team expressly disclaims any responsibility for the accuracy, legality, or content of any Third-Party Site.

Your access to and use of any Third-Party Site is entirely at your own risk and subject to the terms and conditions of such Third-Party Site. MBA Capital Team shall not be responsible or liable for any loss or damage incurred as a result of your use of or reliance on any Third-Party Site.

MBA Capital Team may engage third-party vendors or service providers in connection with the delivery of its Services. Such engagement shall be governed by appropriate contractual arrangements and does not alter MBA Capital Team's obligations under these Terms.

To the maximum extent permitted by applicable law, MBA Capital Team's total aggregate liability to you for any and all claims arising out of or relating to these Terms or your use of the Services shall not exceed the total amount paid by you to MBA Capital Team for the specific Service giving rise to the claim during the twelve (12) month period immediately preceding the event giving rise to such liability.

You acknowledge and agree that the limitations of liability set forth in this Section reflect a reasonable and fair allocation of risk, are an essential basis of the bargain between the parties, and that MBA Capital Team would not have entered into this Agreement without such limitations.

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, MBA Capital Team's liability shall be limited to the greatest extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless MBA Capital Team and its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• (a)Your access to or use of the Services;
• (b)Your breach of these Terms or any applicable law or regulation;
• (c)Your violation of any third-party right, including any intellectual property right, proprietary right, or privacy right;
• (d)Any content or information you submit, post, or transmit through the Services; or
• (e)Any fraud, misrepresentation, or willful misconduct by you.

MBA Capital Team reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with MBA Capital Team in asserting any available defenses in connection with such claims.

MBA Capital Team does not warrant that the Services will meet your requirements, that the Services will be uninterrupted, timely, secure, or error-free, or that any defects or errors in the Services will be corrected. You acknowledge that you rely on the Services entirely at your own risk.

While MBA Capital Team endeavors to provide accurate and current information, it makes no warranty or representation as to the accuracy, completeness, reliability, suitability, or availability of any information, content, or materials contained within the Services for any purpose.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of the State of Kentucky, with venue in Jefferson County, Kentucky, without regard to its conflict of law principles.

Notwithstanding Section 13.2, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm or to protect intellectual property rights pending arbitration.

Before initiating formal arbitration, the parties agree to first attempt in good faith to resolve any dispute informally by notifying the other party in writing of the nature of the dispute and the relief sought. The parties shall have thirty (30) days from the date of such notice to attempt informal resolution.

MBA Capital Team reserves the right, in its sole discretion, to update, revise, supplement, or otherwise modify these Terms at any time and for any reason, with or without prior notice, subject to the notification provisions set forth herein.

All modifications to these Terms shall be effective upon posting the revised Terms on MBA Capital Team's website or platforms, unless a different effective date is explicitly stated. The "Last Updated" date at the top of this document shall be amended accordingly.

In the event of material changes to these Terms, MBA Capital Team will endeavor to notify registered users of such changes via email to the address associated with the user's account and/or via a prominent notice on the platform. It is your responsibility to ensure your contact information remains current.

Your continued access to or use of the Services after any modifications to these Terms have become effective shall constitute your irrevocable acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue all use of the Services immediately.

MBA Capital Team reserves the right, in its sole and absolute discretion, to suspend, restrict, or permanently terminate your access to all or any portion of the Services at any time, without prior notice or liability, for any reason, including but not limited to your actual or suspected violation of these Terms.

You may discontinue use of the Services at any time by contacting MBA Capital Team directly at [email protected] or by ceasing all use of the website and platforms. Discontinuing use does not relieve you of any obligations incurred prior to the date of termination.

Upon the termination or expiration of this Agreement for any reason:

• (a)All rights and licenses granted to you under these Terms shall immediately cease;
• (b)You shall immediately cease all use of the Services and destroy any materials obtained through the Services;
• (c)MBA Capital Team may, but is not obligated to, delete your account and associated data in accordance with its data retention policies and applicable law.

All provisions of these Terms that by their nature should survive termination — including, without limitation, ownership provisions, intellectual property rights, funding disclaimers, disclaimers of warranties, indemnification obligations, and limitations of liability — shall survive the termination or expiration of this Agreement and shall remain in full force and effect.

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, unlawful, void, unenforceable, or in conflict with any applicable law or regulation, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, such provision shall be severed from these Terms.

The invalidity, unlawfulness, or unenforceability of any provision shall not affect or impair the validity, legality, or enforceability of any other provision of these Terms, all of which shall remain in full force and effect. The remaining provisions of these Terms shall continue to be binding upon the parties.

These Terms, together with the Privacy Policy and any Additional Terms incorporated herein by reference, constitute the entire agreement between you and MBA Capital Team with respect to your access to and use of the Services, and supersede and extinguish all prior or contemporaneous agreements, representations, warranties, understandings, negotiations, and discussions, whether oral or written, between the parties relating to the subject matter hereof.

No failure or delay by MBA Capital Team in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy, and no single or partial exercise of any right or remedy shall preclude any other or further exercise of that right or remedy. No waiver shall be effective unless made in writing and signed by an authorized representative of MBA Capital Team.

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without the prior written consent of MBA Capital Team. MBA Capital Team may freely assign these Terms, in whole or in part, including in connection with a merger, acquisition, sale of assets, or operation of law.

Section headings used in these Terms are for convenience of reference only and shall not affect the interpretation or construction of any provision herein.

MBA Capital Team will endeavor to respond to all written inquiries within a reasonable time. Please note that certain inquiries of a legal or regulatory nature may require additional time for review and response.

All formal legal notices to MBA Capital Team must be sent in writing to the mailing address set forth in Section 18.1 and shall be deemed delivered upon confirmed receipt. Electronic communications shall be deemed delivered upon successful transmission, subject to applicable confirmation of receipt.
